Terms of Service

Xpens provides financial management software including expense tracking, invoicing, payroll, tax management, and bank account synchronisation for Nigerian businesses.

We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.

You must be:

• At least 18 years old
• A Nigerian resident or operating a business in Nigeria
• Legally able to enter into contracts

You are responsible for:

• All activity on your account
• Maintaining the security of your password
• Keeping your contact information current
• Ensuring your team members comply with these Terms

You may NOT use Xpens to:

• Violate any Nigerian law or regulation
• Process fraudulent transactions
• Upload malicious code or content
• Impersonate another person or business
• Attempt to access other users' data
• Reverse engineer or copy the platform
• Use the API beyond agreed rate limits

We may suspend accounts that violate these terms without prior notice.

Free Plan: Available forever at no cost. Subject to usage limits in these Terms.

Pro Plan: ₦10,000/month (or current pricing as shown on the pricing page). Billed monthly via Paystack. Automatically renews until cancelled.

Cancellation: Cancel anytime from Settings → Billing. Access continues until the end of the billing period. No partial refunds for unused periods.

Failed Payments: We will retry failed payments 3 times. After 3 failures, the account downgrades to Free. Data is retained for 90 days.

Price Changes: We will notify you 30 days before any price increase via email.

14-day Pro trial available on first signup. No credit card required during trial. Full Pro access during the trial period. Trial ends automatically — account reverts to Free unless you subscribe.

You own all data you create in Xpens.

We process your data to provide the service as described in our Privacy Policy.

You grant Xpens a limited licence to host, store, transmit and display your data solely to provide the service.

You may export your data at any time from Settings → Export.

We treat your financial data as strictly confidential.

We will not share your financial information with any third party except as described in our Privacy Policy and these Terms.

Xpens, its logo, and all platform content are owned by Xpens Technologies.

You may not copy, modify, or distribute any part of Xpens without written permission.

Xpens integrates with:

• Mono (bank data) — subject to Mono's terms
• Paystack (payments) — subject to Paystack's terms
• Twilio (WhatsApp) — subject to Twilio's terms

We are not responsible for the actions of these third-party services.

Xpens is provided "as is" without warranties of any kind.

We do not warrant that:

• The service will be uninterrupted
• All data will be error-free
• The service will meet your specific needs

Financial information in Xpens is for management purposes. It does not constitute professional financial or tax advice. Consult a qualified professional for specific tax or legal guidance.

To the maximum extent permitted by Nigerian law, Xpens shall not be liable for indirect, incidental, or consequential damages arising from your use of the service.

Our total liability shall not exceed the amount you paid to Xpens in the 12 months before the claim.

You agree to indemnify Xpens from claims arising from your use of the service, violation of these Terms, or infringement of third-party rights.

You may delete your account at any time from Settings → Account → Delete Account.

We may terminate accounts that:

• Violate these Terms
• Are used fraudulently
• Are inactive for 12+ months (Free plan)

On termination, your data is retained for 90 days then deleted.

These Terms are governed by the laws of the Federal Republic of Nigeria.

Any dispute shall be resolved by negotiation first. If unresolved, disputes shall be referred to the courts of Lagos State, Nigeria.

We may update these Terms. Material changes will be communicated via email 14 days in advance. Continued use after changes constitutes acceptance.
